What is a "hold-back" in a DSO deal?
A hold-back is a portion of the purchase price (often 10-20%) that the buyer keeps for 12-24 months to ensure the practice continues to perform. We negotiate the terms to ensure this money is actually releasable and not lost forever.
How are the proceeds of my sale taxed?
